Toolscale provides its members with secure and centralized access to multiple premium third-party software platforms through remote connections.
These Terms of Service (“TOS”) govern the use of our services.
By subscribing to or using Toolscale, you acknowledge that you have read, understood, and agreed to these terms.
2. Service Description
Toolscale manages and maintains secure accounts for various third-party platforms on its own servers.
Users connect to these accounts remotely through streaming technology or private browser sessions managed by Toolscale.At no point do users receive the actual login credentials of the third-party accounts.
Toolscale acts strictly as an intermediary, allowing access while keeping the accounts protected and secure.
3. Compliance with Third-Party Terms
When using Toolscale to access third-party platforms, you agree to comply with each platform's own Terms of Service and rules.Any activity that violates the terms or policies of these third-party services is strictly prohibited and may result in:
Immediate suspension or termination of your Toolscale access, and
Potential legal consequences depending on the nature of the violation.
Toolscale enforces this policy to ensure full compliance with all third-party requirements.
4. User Responsibilities
By creating an account and using Toolscale, you agree to:
Respect these TOS and the TOS of all third-party platforms accessed via Toolscale.
Use the services only for lawful and permitted activities.

Not share your Toolscale account or access with anyone else.

Assume full responsibility for any action taken under your account.
You also agree to indemnify and hold harmless AFFYY LLC and Toolscale against any claims, damages, or liabilities resulting from misuse of the services or violation of these terms.
5. Account Security and Access
Each user is granted personal access to Toolscale solely for permitted and compliant use.
Sharing access, reselling services, or using the platform in any fraudulent or abusive way is strictly prohibited.Toolscale reserves the right to monitor activity and suspend or terminate accounts that engage in unauthorized use.
6. Changes to Services
Access to third-party platforms depends on their own policies and terms.
As such, Toolscale may modify, limit, or discontinue access to certain services at any time, especially to remain compliant with updated third-party rules.Users will be informed of major changes whenever possible.
7. Dispute Resolution
If a third-party software provider or rightsholder raises a dispute regarding the use of their platform, Toolscale will act promptly and in good faith to address the issue.A dedicated email is available for this purpose: contact@toolscale.io.
8. Service Modifications
Toolscale does not guarantee permanent access to any specific software or platform.
The catalogue of available tools may evolve based on availability, licensing constraints, or other operational reasons.If a specific tool is removed, Toolscale may, at its discretion, replace it with an equivalent tool for a limited period (7 days).
These changes do not entitle the user to a refund.
9. Fair Use and Credit Management
Some tools on Toolscale operate under a credit-based system.
Credits may occasionally run out temporarily due to high demand.
Toolscale monitors usage carefully to ensure fair access for all members.
If a user’s credit consumption is deemed excessive or abusive, Toolscale reserves the right to temporarily limit access to certain tools to maintain service quality for all users.
10. Refund Policy
All payments to Toolscale are final and non-refundable, regardless of:
Changes to the catalogue of available tools,
Temporary service disruptions,
Or dissatisfaction with the service.
In exceptional circumstances, Toolscale may, at its sole discretion, issue credits or compensation to affected users, but this is not guaranteed.
11. Privacy and Data Protection
Toolscale values your privacy and is committed to protecting your data.
We collect and process information in accordance with our Privacy Policy, which is incorporated into these TOS by reference.
By using Toolscale, you consent to our data collection and handling practices as outlined in the Privacy Policy.
12. Intellectual Property
All content, materials, and technology provided by Toolscale, including but not limited to:

Logos,
Software,
And documentation
are the exclusive property of AFFYY LLC or its partners and are protected by copyright and intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to use Toolscale strictly in accordance with these TOS.
13. Indemnification
You agree to indemnify and hold harmless Toolscale, AFFYY LLC, its affiliates, officers, employees, and partners from any claims or damages arising from:
Your use or misuse of the service,
Your violation of these TOS,
Or any infringement of third-party rights.
14. Disclaimer and Limitation of Liability
Toolscale is provided “as is” and “as available”.
We do not guarantee uninterrupted access, permanent availability of specific tools, or error-free operation.
To the fullest extent permitted by law, AFFYY LLC disclaims any liability for:
Service interruptions,
Loss of data,
Direct, indirect, or consequential damages caused by use or inability to use the service.
15. Governing Law
These Terms of Service are governed by the laws of the State of Delaware, USA.
Any disputes must be resolved exclusively in the courts located in Delaware.
16. Changes to the Terms
Toolscale may update these TOS at any time.
Users will be notified of major changes, and continued use of the service constitutes acceptance of the revised terms.
17. Entire Agreement
These TOS, along with the Privacy Policy, represent the entire agreement between the user and Toolscale.
They supersede all previous agreements, communications, and understandings.
18. Severability
If any part of these TOS is deemed invalid or unenforceable, the remaining provisions will remain in full effect.
19. Waiver
Failure by Toolscale to enforce any provision of these TOS shall not be considered a waiver of its right to enforce that provision later.
20. Assignment
AFFYY LLC may transfer or assign its rights and obligations under these TOS at any time.
Users may not assign their Toolscale account or rights without prior written consent from Toolscale.
